These terms apply when you commission a review or paid sitting from Utilitycorner (“we”, “us”), of Office 11, 39 Sample Road, Ipoh 00000. By sending a note through this site, paying a deposit, or confirming a start date in writing, you accept them. If a signed engagement letter exists, that letter prevails where it is more specific.
The work
We provide professional review services: readings of how clients use a B2B client portal app, delivered as a written brief and a debrief. We do not sell software, hosting, implementation, or a login to any product of our own. You remain responsible for your portal, your vendors, and any change you make after the debrief.
Access and confidentiality
You arrange read-only access to event records and a walkthrough of the live portal. We do not take copies of your clients’ files, drawings, invoices, or personal data beyond what is required to name events and sample sessions. You must have the authority to grant that access. We will not accept passwords sent in the first contact form.
Both parties will keep confidential the non-public information learned during the engagement, except where disclosure is required by Malaysian law or a regulator. Our written brief is for your internal use. You may share it with a vendor or staff member who needs it to act; you may not republish it as marketing in our name without consent.
Fees and taxes
Fees are as quoted in writing. Deposits, balances, postponements, and refunds are described on the refund page. Prices are in Malaysian ringgit unless the quote says otherwise. You are responsible for any applicable tax that the law places on you.
Intellectual property
You keep all rights in your portal, event records, and internal documents. We keep the methods, checklists, and writing style we use across engagements. The specific brief we write for you is licensed to you for internal use upon payment of the balance. We may describe the industry and the type of portal in later field notes without naming you, unless you ask us in writing not to.
Liability
We perform the review with care reasonable for a small professional practice. We do not warrant that following the brief will raise logins, cut tickets, or satisfy a vendor. Our aggregate liability for an engagement is limited to the fees you paid for that engagement, except in cases of fraud or death or personal injury caused by our negligence, where Malaysian law does not allow a limit. We are not liable for lost profit, lost data, or vendor delay.
Governing law
These terms are governed by the laws of Malaysia. Courts in Malaysia have exclusive jurisdiction, with Ipoh as the preferred venue where the rules allow.
